Articles of Organization and Bylaws

Article I. Name
This association will be known as “Boise Ranch Golf Course Men’s Association (BRMA).”
Article II. Purpose
The association’s purpose is to further the game of golf at Boise Ranch Golf Course (BRGC) through the use of equitable handicapping, promotion of tournaments and competitions enhancing social enjoyment of the game.
Article III. Scope
The association shall be centered on golfers who ordinarily play BRGC Association activities and shall have the implied consent of BRGC, and shall be directed by a duly elected Board of Directors in a manner complementary to the game of golf, and BRGC.
Article IV. USGA and IGA Membership
The association shall affiliate with and retain membership in the United States Golf Association (USGA) and the Idaho Golf Association (IGA) and shall adhere to all rules and regulations of said associations, as long as it is in the best interest of the BRMA.
Article V. Amateur Golf
The association shall not engage in any activity not related to amateur golf.
Article VI. Monies
The association shall collect money for membership in the IGA and BRMA. All monies collected shall be disbursed to pay for handicap services from the IGA. The remaining money shall be spent on operating the BRMA, BRMA events and BRMA activities. The association shall be a non-profit organization registered with the State of Idaho #94-3242348.
Article VII. Dissolving Association
At the dissolution of this organization assets shall be given to amateur golf in the Boise, Ada County Area.
Article VIII. Board of Directors
Section 1:

The association Board shall consist of seven (7) voting members. There will be six (6) elected by the general membership at the BRMA Club Championship, and one (1) non-elected position appointed by the BRGC. The President, Secretary and Tournament Director will be elected on odd years and 1st Vice President (League Director), 2nd Vice President (Handicap Chairman) and Treasurer will be elected on even years following the 2023 election year.
The Tournament Director in 2022 will run for a 1-year term, and the 2nd Vice President in 2023 will run for a 1-year term. This will make the changes required to update Article VIII Section 1 of the By-Laws. In 2024 all officers will return to 2-year terms. This section will drop off the By-Laws after 2023.
Section 2:
Any vacancy in the Board of Directors or committees shall be filled within one month by the balance of voting members of the BRMA Board of Directors. The person selected shall serve the balance of the term.

Officers of the Board of Directors shall be President, 1st Vice President (League Director), 2nd Vice President (Handicap Chairman), Tournament Director, Secretary, and Treasurer.

Regular meetings of the Board shall be held monthly during the golf season (March 1st through November 30th), with time and place to be determined by the board. The President or any two board members may call special meetings. The secretary shall give sufficient notice of all board meetings to all board members enabling their attendance. For any board meeting, a quorum shall be constituted if four (4) members are present. No association business shall be finalized unless a quorum of directors is present.

A Board of Director member must announce his intent to vacate his position, by the second Sunday prior to the Club Championship, prior to running on Ballot for a different position. The vacated position will then be added to the Ballot and the election committee will solicit candidates to fill the vacated position. The board member vacating their position will continue serving in that position until the end of the current year. The person elected shall serve the balance of the vacated term. If there is no candidate for the vacated position it shall be appointed as per Article VIII Section 2.
Article IX. Duties of Officers

The President shall be the general executive office of the association, and he shall preside at the meetings of the members, and of the board of directors. He shall direct the performance of the officers and committees in the accordance with the bylaws of the association and the resolutions of the Board of Directors.

The 1st Vice President (League Director) shall act as the President in the absence of the President. He shall be responsible for all league activity to include; establishing rules & schedule of play, ensuring member payment, printing scorecards and posting league results. He shall perform other duties in accordance with direction from the President.

The 2nd Vice President (Handicap Chairman), shall be responsible for USGA handicap process to include; turning on/off handicaps, registering members with BRMA/IGA, ensuring member payment of dues, ensure handicaps are correct for tournament and league play, chair handicap committee, adjust scores per Equitable Stroke Control and posting of all tournament and league scores. The 2nd Vice President (Handicap Chairman) shall perform other duties in accordance with the direction from the President.
Section 4:
The Secretary shall give notice of all meetings of the association and of the Board of Directors. He shall keep minutes of all such meetings. He shall be responsible for association and board correspondence, and he shall maintain all records of the association. The Secretary shall perform other duties in accordance with the direction from the President.
Section 5:
The Treasurer shall collect all revenues of the association and shall deposit all revenues in the banking account for the association. He shall maintain the accounts of the association and shall report as often as required by the Board of Directors. He shall pay all bills of the association as directed by the Board of Directors. All expenditures of the association shall be paid by check, and all checks shall be signed by the Treasurer and countersigned by the President or 1st Vice President. The Treasurer shall perform other duties in accordance with the direction from the President.

The Tournament Director shall set dates for and promote association tournament events. The Tournament Director shall be responsible for association tournaments, formatting fairness for all handicap association members, promote sportsmanship and the game of golf. Tournament dates and format shall be approved by vote of the Board of Directors.
Article X. Committees

There shall be three (3) standing committees of the association: (1) handicap committee chaired and appointed by the 2nd Vice President (2) publicity committee (3) election committee both chaired by the President. The President shall appoint with the approval of the Board of Directors two (2) BRMA members to serve on the election committee and at least (1) BRMA member to serve on the publicity committee.

The President, with the Board of Directors approval, may create other committees, both special and general as necessary to fulfill the purposes of the association.
Article XI. Duties of Standing Committees

The handicap committee shall consist of at least three (3) members, the 2nd Vice President as chairman the remainder to be appointed by the chairman. The handicap committee shall oversee the handicaps of members and may make handicap adjustments at any time in accordance with the USGA rule 5.2 reduction of handicap index for exceptional tournament performance. The committee shall receive all applications for membership in the association and shall require all members to comply with the association bylaws, no membership in the association shall be allowed to anyone who is not in good standing with the USGA and IGA.

The publicity committee shall handle contacts with newspapers, radio stations and television stations concerning activities and tournaments of the association, this committee shall also publicize association functions by use of posters, bulletin boards and other announcements to enable the member’s knowledge of association functions. The publicity committee will be responsible for creation, maintaining and basic operation of the website.

The election committee shall be formed by the highest ranking officer that is not on the ballot and approved by the Board of Directors no later than July 1st. The election committee shall consist of two (2) association members who are not current board members or on the current ballot running for a board position. The election committee will be responsible for soliciting candidates and creating ballots by the 2nd Sunday prior to the start of the Club Championship. The election committee shall research and review various methods for allowing the members to cast their votes and will present options and a proposal to the Board for approval. They will then distribute and collect ballots by any means approved by the board, to provide all members an opportunity to a single vote prior to 5:00 p.m. on Sunday of the Club Championship. Lastly, they will tabulate the results immediately after voting closes. They will then give the results to the President for public release on the website and by an e-mail to the membership as soon as possible thereafter.
Article XII. BRMA Membership
Section 1:
There shall be only one class of members of the association, i.e. full members. Full membership shall be obtained by payment of such fees and dues as required by the Board of Directors. Membership in the association shall entitle members to all association membership privileges and full voting rights.

Membership in the association shall not be limited except in the following ways:
In the event the amateur status of any member of this association becomes impaired at any time, any member may submit the name of such member to the Board of Directors with the recommendation that such member be dropped from membership of the association. The Board of Directors shall determine the future membership of such member in the association and if it finds that the member has indeed lost his amateur status, the Board shall forfeit such person’s membership and all his membership privileges.
Article XIII. Membership Fees and Dues

Association membership fees shall be thirty dollars ($30) per year payable on or before a deadline to be determined annually by the Board of Directors. The annual fees of the association may be changed only by a majority vote of the Association.
Article XIV. Rights of Members
Section 1:
All members of the association shall have the right to one vote in all elections for the Board of Directors and in all matters requiring membership approval.

All members of the association shall have the opportunity to play in any association sponsored golf tournament, i.e. and tournaments in which association funds are expended.
Section 3:
All members are entitled to all other rights and privileges expressed in the bylaws.
Article XV. Trophies
All cups or trophies offered by the association for winners of competitive events of the association shall remain the property of the association until finally awarded to the winners thereof. The Treasurer shall pay for all cups and trophies from association funds.
Article XVI. Club Championship Qualifications

To participate in the “Club Championship” members must have played in at least two (2) BRMA tournaments or one (1) BRMA league event in the same golf season as the championship and be a BRMA member in good standing. Playing as a guest in a BRMA tournament or playing as a substitute in league is not considered an event.
Article XVII. Contracts and Indebtedness
No contract entered into by any director, officer or committee member of the association shall be valid without the previous authorization of the Board of Directors or the subsequent ratification of the board. No director, officer or committee member shall incur indebtedness for the association without the previous authorization of the association.
Article XVIII. Amendments
These bylaws may be amended by majority of the Board of Directors as determined to be necessary for the best interest of the association and promotion of the game of golf at Boise Ranch Golf Course. Provided that such action shall not be effective until approved by a majority vote of the members of the annual meeting.

- Professional golfers employed by Boise Ranch Golf Course may become members.
In the event the amateur status of any member of this association becomes impaired at any time, any member may submit the name of such member to the Board of Directors with the recommendation that such member be dropped from membership of the association. The Board of Directors shall determine the future membership of such member in the association and if it finds that the member has indeed lost his amateur status, the Board shall forfeit such person’s membership and all his membership privileges.
